ActivSuite Visitor, Customer & User Terms

Aurumize Transformation Technologies and Solutions Private Limited, CIN U74110WB2015PTC206277 ("Aurumize"), is the owner, developer, creator, operator and commercial provider of the ActivSuite technology platform and its present and future products, including ActivEvents, ActivMarket, ActivClub and ActivMenu. ActivSuite, its software, source and object code, architecture, processes, workflows, concepts, designs, interfaces, documentation, trademarks, logos and related intellectual property are proprietary to Aurumize or used under applicable rights.

Aurumize is a technology/platform provider. Unless expressly agreed otherwise, Aurumize is not itself a seller, event organiser, club outlet, delivery carrier, bank, payment processor, Payment Gateway, Payment Aggregator, merchant of record, escrow agent or custodian of customer funds.

Aurumize may facilitate access to an independent third-party payment solution where a participating merchant, organiser or club wants one. The independent provider handles payment processing and settlement. Aurumize does not, under the present architecture, aggregate, pool, hold or custody customer funds for onward settlement to multiple merchants. A participating business may instead use its own payment provider. Third-party payment-provider charges are borne by that business unless the applicable Commercial Form says otherwise.

Any future service in which Aurumize itself receives, pools, holds, aggregates or settles funds for multiple merchants requires a separate legal, regulatory, compliance and technical review before implementation.

These Terms govern visitors, customers, members, attendees, purchasers and other end users of ActivSuite and its underlying products. By accessing or using an ActivSuite Service, you accept these Terms, the applicable product-specific terms, transaction terms and Privacy Notice.

"User" means the person using an ActivSuite Service. "Merchant" means a seller, shop, outlet or service provider. "Event Organiser" means the organiser using ActivEvents. "Club" means a club or institution using ActivClub. "Payment Provider" means an independent third-party payment provider. "Order" means a request for goods/services. "Personal Data" has the meaning under applicable data-protection law.

Users must provide accurate information, maintain credential security and satisfy any age, membership, identity or eligibility requirement applicable to a service.

Aurumize supplies technology enabling discovery, ordering, ticketing, reservations, notifications, QR/OTP verification, pickup and delivery orchestration and reporting. Unless expressly stated, Aurumize is not the seller of a Merchant's goods, the organiser of an event, or the Club providing a service.

Product descriptions, prices, availability, taxes, event details, cancellation/refund rules and fulfilment are supplied by the relevant Merchant, Organiser or Club. The User should review transaction information before confirming an Order.

Payments made through an independent Payment Provider are processed and settled by that provider. ActivMarket is designed for direct settlement to the participating Merchant. ActivEvents is designed for settlement to the Event Organiser, who is responsible for accounting to participating stalls. ActivClub is designed for settlement to the Club, which is responsible for outlet disbursement or appropriation. Aurumize does not hold or pool those funds.

A feature described as a wallet does not by itself create a custodial monetary wallet operated by Aurumize. Unless separately documented, such a feature represents credits, entitlements, credentials or a pass-through/payment-provider-controlled function.

ActivMarket may support pickup, store-managed delivery and delivery through independent partners/integrations. Delivery availability depends on store configuration, serviceability and partner availability. Preparation time, driver assignment and travel time are distinct components of a delivery estimate.

ActivEvents may support event discovery, tickets, stall/item search, ordering, QR/OTP verification and notifications. The Event Organiser remains responsible for event admission, safety, licences, participating-stall arrangements and organiser policies.

The Club, outlet or merchant remains responsible for the relevant goods/services, pricing, taxes, availability, quality, licences, refunds and customer support. ActivMenu and related tools are technology components.

Users shall not misuse the platform, bypass security, scrape proprietary content, submit fraudulent orders, misuse QR/OTP credentials, impersonate others, infringe rights or use the Services unlawfully.

All ActivSuite and product software, trademarks, designs, concepts, processes, documentation and architecture belong to Aurumize or its licensors. No ownership is transferred to a User. Users receive only a limited right to use the Services for their intended purpose.

Aurumize processes Personal Data in accordance with applicable Indian law, including the Digital Personal Data Protection Act, 2023 and rules/notifications in force from time to time. The Privacy Notice describes purposes, categories, rights, retention and contact mechanisms. The platform may also involve independent Merchants, Clubs, Organisers, Payment Providers and delivery providers with their own lawful processing roles.

Aurumize intends the consumer-facing Services to operate consistently with applicable consumer law, including the Consumer Protection Act, 2019 and Consumer Protection (E-Commerce) Rules, 2020, to the extent applicable. Merchant-facing disclosures, price, refund/cancellation and grievance information may be shown at the relevant transaction.

Aurumize may modify, suspend or discontinue features for maintenance, security, legal compliance, development or commercial reasons, with notice where required.

To the extent permitted by law, Services are provided on an as-available basis. Aurumize does not warrant uninterrupted operation or the conduct, solvency, licensing or quality of independent Merchants, Organisers, Clubs, delivery providers or Payment Providers. Nothing excludes liability that cannot legally be excluded. To the maximum lawful extent, Aurumize's liability relating to a particular paid Service is limited to fees actually paid to Aurumize for that Service during the preceding twelve months.

To the extent permitted by law, a User shall indemnify Aurumize against third-party claims arising from unlawful use, fraud, infringement or breach of these Terms, except to the extent caused by Aurumize's own breach or unlawful conduct.

Indian law governs these Terms. Mandatory consumer/statutory remedies remain available. Subject to mandatory forums, courts at Kolkata, West Bengal shall have jurisdiction.
