Parties & Purpose
This Agreement is entered into between:
Aurumize Transformation Technologies and Solutions Private Limited, CIN U74110WB2015PTC206277 ("Aurumize"); and the Delivery Partner.
Aurumize operates ActivMarket, a local-commerce technology platform that may facilitate Customer pickup, Merchant-managed delivery, and delivery through independent delivery partners.
1. Independent Contractor Relationship
The Delivery Partner is an independent contractor. Nothing creates an employment, partnership, joint venture, or agency relationship. The Delivery Partner is responsible for its own statutory registrations, personal taxes, vehicle insurance, driving licenses, and equipment.
2. Delivery Models & Assignment Lifecycle
Delivery Models: Customer Pickup (no partner involved), Store-Managed Delivery (merchant-operated), and ActivMarket Partner Delivery.
Standard Delivery Lifecycle States:
ORDER_PLACED → STORE_ACCEPTED → PREPARING → READY_FOR_DISPATCH → DELIVERY_REQUESTED → DRIVER_ASSIGNED → PICKED_UP_FROM_STORE → OUT_FOR_DELIVERY → DELIVERED.
Exception States:
DELIVERY_UNAVAILABLE, DRIVER_CANCELLED, CUSTOMER_UNREACHABLE, ADDRESS_ISSUE, DELIVERY_FAILED, RETURN_TO_STORE, CANCELLED.
3. Verification & Proof of Delivery
Pickups from merchants and deliveries to customers may require secure verification credentials, including:
• One-Time Password (OTP) verification
• Secure QR Code confirmation
• Geolocation timestamps and digital acknowledgements.
4. Payments & Financial Architecture
Customer payments for goods or tickets are not Delivery Partner funds. Aurumize does not hold Customer Transaction Funds for the purpose of paying Delivery Partners. Delivery Partner compensation represents a separate B2B commercial fee based on agreed rate cards (base fee, distance fee, waiting or peak surcharges).
5. Data Confidentiality & DPDP Compliance
The Delivery Partner receives only customer and address information strictly necessary to fulfill the specific delivery assignment.
The Delivery Partner shall not:
• Export or retain customer databases
• Contact customers for unrelated commercial purposes
• Sell or share customer contact details or addresses
• Maintain personal copies of customer information past the completion of the delivery task.
6. Safety, Traffic & Legal Obligations
Delivery Partners must hold valid motor vehicle driving licenses, follow local road safety and traffic regulations, exercise reasonable care over customer packages, and avoid any tampering or unauthorized retention of goods.
7. Governing Law & Arbitration
This Agreement is governed by Indian Law. Unresolved disputes shall be referred to sole arbitration seated in Kolkata, West Bengal under the Arbitration and Conciliation Act, 1996. Subject to arbitration, Kolkata courts possess exclusive jurisdiction.
